  • Ensure that you have the necessary rights to share any content, data, or intellectual property with us.
  • Use our services only for lawful purposes and refrain from any fraudulent or abusive activity.
  • Cooperate in a timely manner during project development phases, including providing feedback, approvals, or materials when required.

4. Intellectual Property Rights

  • All materials, code, content, and deliverables created by Audacity IT Solutions remain our intellectual property until full payment has been received.
  • Once the project is paid in full, clients are granted a non-exclusive, transferable right to use the deliverables for their intended purpose.
  • Pre-existing tools, frameworks, or proprietary technologies used in development remain the property of Audacity IT Solutions.
  • Clients are responsible for ensuring that any third-party materials provided to us do not violate copyright or intellectual property laws.

5. Payments & Fees

  • All fees, pricing structures, and payment terms will be outlined in the service agreement or invoice.
  • Payments are due according to the specified timeline; late payments may lead to suspension of services.
  • Setup costs, third-party expenses (e.g., hosting, licenses, plugins) are billed separately unless included in the contract.
  • Payments made are generally non-refundable, except in cases where agreed deliverables cannot be provided by us.
  • All materials, code, content, and deliverables created by Audacity IT Solutions remain our intellectual property until full payment has been received.

6. Confidentiality

We value the trust of our clients. Both parties agree to:

  • Treat all sensitive business, technical, and project-related information as confidential.
  • Not disclose such information to unauthorized third parties without prior written consent.
  • Protect confidential data using appropriate safeguards.

Confidentiality obligations remain in effect even after termination of services.

7. Limitation of Liability

Audacity IT Solutions strives to deliver quality services but is not liable for:

  • Any indirect, incidental, or consequential damages resulting from use of our services.
  • Downtime, data loss, or performance issues caused by third-party providers (e.g., hosting, payment gateways).
  • Delays caused by circumstances beyond our control, such as natural disasters, power outages, or regulatory actions.

Our total liability under any agreement is limited to the amount paid by the client for the specific service.

8. Third-Party Services & Integrations

Our services may integrate with or rely on third-party providers such as cloud platforms, APIs, payment gateways, or analytics tools. While we take care in choosing reliable partners, we are not responsible for:

  • The performance, availability, or security of third-party services.
  • Changes in third-party terms, pricing, or policies.

Clients are encouraged to review the terms and policies of these third-party providers.

9. Termination of Services

Either party may terminate the service agreement by providing written notice. Termination may occur if:

  • The client fails to make payments on time.
  • There is a breach of these Terms by either party.
  • Continued collaboration becomes unlawful or impractical.

Upon termination, clients are responsible for settling outstanding payments for work completed.

10. Modifications to Terms

Audacity IT Solutions may revise these Terms from time to time to reflect updates in services, business practices, or legal requirements. We encourage you to review this page periodically. Updates will be effective immediately upon posting.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of Bangladesh. Any disputes arising under these Terms shall first be addressed through mutual negotiation. If unresolved, disputes will be subject to the jurisdiction of the courts located in Dhaka, Bangladesh.
